General Contract Terms

1.Quality Control: Eagle Language Service, S.L. shall effect a correct and timely delivery of contracter work except where the force majeure clause applies. In order to achieve this our quality control manual is applied. The purpose of which is to forsee and correct possible errors. In this way, Eagle Language Service, S.L. guarantees that the translation service complies with the objectives proposed by the client. Our services includes revision and verification of compliance with technical and linguistic requirements.

2. Format: the original format of the document sent by the client is always maintained so long as it is one of the following editable formats: Word, Excel and PowerPoint. Other ineditable formats are delivered in Word format unless otherwise specified, in which case formating services shall be hired.

3. Illustrations: Eagle Language Service, S.L. assumes that illustrations do not contain any text for translation. In cases to the contrary, the translation and editing of the text contained in said illustrations shall be invoiced separately.

4. Correction and revisioni: all our translations are revised by a person other than the translator in order to ensure that the meaning has been transferred, there are no errors or omissions and the requirements established have been met.

5. Quotations and delivery times: the quotation approved for the provision of services shall become a binding contract upon signing by the client or upon approval by electronic means or by fax to Eagle Language Service, S.L. Quotations are invoiced on the basis of the number of translated words except where agreed otherwise by Eagle Language Service, S.L., therefore the initial quote is merely an estimate. The delivery date for work shall be agreed in each case with the client. Delivery dates shall be calculated on the basis of business days. In the event that the quotation is approved after 5pm, the business days shall be counted from the day following approval of the quotation.

6. Payment: payment shall be made by bank transfer at no cost to Eagle Language Service, S.L. or by cheque or cash lodgement.

7. Payment of employees: Eagle Language Service, S.L. reserves the right to pay employees, partially or in full, the amount corresponding to the work carried out should this not comply with the quality standards required by the standard UNE-EN 15038.

8. Claims: claims shall only be accepted within the first 30 days following receipt by the client of the translation. Upon completion of this period the work shall be deemed compliant.

9. Force Majeure: Eagle Language Service, S.L. shall not accept any liability on occasions where, due to fortuitous causes or force majeure, any of the obligations established in tehse general terms could not be complied with.

10. Confidentiality: with the exception of that established in chapter VII Articles 297 and 499 of the current Criminal Code with regard to divulging confidential information, Eagle Language S.L. undertakes not to comunicate to third parties or use for its own benefit any information to which it may have access through documentation entrusted to it for translation or as reference information. The duty of confidentiality does not apply to matters which were or will be in teh public domain. All knowledge and information expressly identified in writing by the client as "confidential" to which Eagle Language Service, S.L. has access during the provision of the contracted service, with regard to the clients business, the products or other confidential information which its market competitors may take advantage of, shall be held in strict confidence by Eagle Language Service, S.L. and, except where the client requests otherwise, shall not be divulged nor made public by Eagle Language Service, S.L., nor shall third parties be authorised to divulge or make it public. This is guaranteed by our confidentiality agreement signed by all members of staff and by persons involved in the translation process. Confidential information does shall not include the storage of terminological glossaries compiled by Eagle Language Service, S.L. in the transcourse of the provision of services and by virtue of these General Terms, unless it is agreed in writing by the client and Eagle Language Service, S.L. that these special glossaries become property of the client and likewise become subject to the confidentiality clauses in this section.

11. Compliance with terms by Eagle Language Service, S.L.: Eagle Language Service, S.L. shall correct defects that may occur for the client due to failure to comply with any of the terms, so long as this is communicated in writing within a period of 30 days from the delivery of the translation. Eagle Language Service, S.L. shall correct, at no cost to the client, any error or inconsistency in the content of the contracted service due to defects in the performance of the translation service. Eagle Language Service, S.L. reserves the right to adjust, subject to notifying the client, the delivery time established in the quotation based on the actual volume of the translation.

12. Modifications with regard to the original project: once the project has started, if the client wishes to make any modification with regard to the original project, the extra work which results from these modifications shall be invoiced separately. Eagle Language Service, S.L. shall inform the client in writing in advance of the additional charge which shall be incurred as a result of said modifications.

13. Author´s rights: once the client has paid the agreed price for the service or those added for modifications of any nature, the translation shall become the intellectual property of the client. Eagle Language Service, S.L. shall not be bound to take action to protect the author´s rights, trademarks or other client rights with regard to the translation, unless otherwise agreed in this contract. Notwithstanding the above, Eagle Language Service, S.L. shall have the right to keep copies of the documents received and of the resulting translations for its archives subject to the confidentiality agreed in section 10.

14. Legislation and Courts of Law: these General Terms are regulated by Spanish legislation.

15. Modification of content: any modification of these general terms must be made in writing and signed by both parties.

16. Termination or rescission by the client: if the client terminates or rescinds any of the aspects reflected in the elements described in the quotation before Eagle Language Service, S.L. has entirely finished the service, the client shall pay the corresponding costs incurred for the planning and assigning of resources by Eagle Language Service, S.L.
